This Affiliate Agreement (“Agreement”) is entered into as of the date of acceptance by and between Authenticity Leads LLC (“Company”, “we”, “us”, or “our”) and the affiliate partner (“Affiliate”, “you”, or “your”) who has applied to participate in the Authenticity Leads Affiliate Program (the “Program”).
1. ACCEPTANCE OF TERMS
By joining the Program, you agree to be bound by this Agreement. If you disagree with any part of this Agreement, you may not participate in the Program. We reserve the right to modify this Agreement at any time by posting updated terms on our website. Your continued participation in the Program following any changes constitutes acceptance of the modified terms.
2. AFFILIATE PROGRAM ENROLLMENT
2.1 Application and Approval
To participate in the Program, you must submit a complete application through our affiliate portal. We reserve the right to accept or reject any application in our sole discretion. Approval is not guaranteed and may be revoked at any time.
2.2 Affiliate Account
Upon approval, you will receive access to your affiliate account, which includes:
- Your unique affiliate ID and tracking links
- Access to marketing materials and promotional assets
- Real-time reporting dashboard
- Commission tracking interface
You are responsible for maintaining the confidentiality of your affiliate account credentials and for all activities that occur under your account.
3. AFFILIATE RESPONSIBILITIES
3.1 Promotion Requirements
As an Affiliate, you agree to:
- Actively promote Authenticity Leads services through approved marketing channels
- Use only the approved marketing materials and messaging provided by us
- Clearly disclose your affiliate relationship in accordance with FTC guidelines
- Maintain the professional reputation and goodwill of Authenticity Leads
3.2 Prohibited Activities
You may NOT:
- Engage in any form of spam, unsolicited email marketing, or deceptive advertising
- Bid on trademarked terms including “Authenticity Leads” or variations thereof in paid search campaigns
- Make false or misleading claims about our services or their capabilities
- Use cookie stuffing, adware, or other illegitimate tracking methods
- Promote Authenticity Leads on websites containing illegal, offensive, or inappropriate content
- Create websites that may be confused with our official website
- Offer unauthorized bonuses, coupons, or incentives without prior written approval
4. COMMISSION STRUCTURE
4.1 Commission Rates
- Tier 1 (0-10 sales/month): 20% recurring commission
- Tier 2 (11-25 sales/month): 25% recurring commission
- Tier 3 (26+ sales/month): 30% recurring commission
Commissions are earned on net sales (excluding refunds, chargebacks, taxes, and fees) for the lifetime of the referred customer’s subscription.
4.2 Commission Attribution
- Commissions are tracked via your unique affiliate links using cookie-based tracking
- Cookie duration: 60 days from initial click
- Last-click attribution model applies
- Self-referrals are not eligible for commissions
4.3 Payment Terms
- Minimum payout threshold: $100
- Payment schedule: Monthly, NET-30
- Payment methods: Direct bank transfer (ACH), Stripe Connect
- You are responsible for any taxes on commission income
- We reserve the right to withhold payment for suspicious or fraudulent activity
5. MARKETING MATERIALS AND INTELLECTUAL PROPERTY
5.1 License Grant
We grant you a non-exclusive, non-transferable, revocable license to use our approved marketing materials solely for the purpose of promoting Authenticity Leads under this Agreement.
5.2 Restrictions
- All intellectual property rights in Authenticity Leads’ trademarks, logos, and materials remain with us
- You may not modify our marketing materials without written consent
- Custom marketing materials must be submitted for approval before use
- This license terminates immediately upon termination of this Agreement
6. RELATIONSHIP OF PARTIES
You and Company are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship. You have no authority to make or accept any offers or commitments on our behalf.
7. CONFIDENTIALITY
During the term of this Agreement, you may receive confidential information about our business, products, customers, and marketing strategies. You agree to:
- Keep all confidential information strictly confidential
- Not disclose confidential information to any third party
- Use confidential information solely for performing under this Agreement
- Return or destroy all confidential information upon termination
8. DATA PROTECTION AND PRIVACY
8.1 Compliance
You agree to comply with all applicable data protection and privacy laws, including GDPR, CCPA, and CAN-SPAM Act.
8.2 Data Handling
- You may not collect, store, or process customer data except as necessary for tracking referrals
- Any collected data must be handled in accordance with your published privacy policy
- You must obtain proper consent before collecting any personal information
9. TERM AND TERMINATION
9.1 Term
This Agreement begins upon approval of your application and continues until terminated by either party.
9.2 Termination
Either party may terminate this Agreement at any time with 30 days written notice. We may terminate immediately for:
- Breach of this Agreement
- Fraudulent, illegal, or unethical conduct
- Damage to our reputation or brand
- Inactivity exceeding 180 days
9.3 Effect of Termination
Upon termination:
- Your affiliate links will be deactivated
- Pending approved commissions will be paid per normal schedule
- You must immediately cease using our intellectual property
- Confidentiality obligations survive termination
10. REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
- You have the legal capacity to enter into this Agreement
- Your participation will not violate any other agreement
- Your promotional methods comply with all applicable laws
- Your website and marketing practices do not infringe any third-party rights
- All information provided in your application is accurate and complete
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Authenticity Leads LLC, and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising from:
- Your breach of this Agreement
- Your promotional activities
- Your website or marketing content
- Any claim that your activities infringe third-party rights
- Your violation of any applicable laws or regulations
12. LIMITATION OF LIABILITY
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE SIX MONTHS PRECEDING THE CLAIM.
13. DISCLAIMER
THE AFFILIATE PROGRAM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. GENERAL PROVISIONS
14.1 Governing Law
This Agreement is governed by the laws of Wyoming, United States, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes shall be resolved through binding arbitration in Wyoming under AAA Commercial Arbitration Rules.
14.3 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements relating to the subject matter.
14.4 Modifications
We may modify this Agreement at any time by posting updated terms. Continued participation constitutes acceptance of modifications.
14.5 Severability
If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force.
14.6 Assignment
You may not assign this Agreement without our prior written consent. We may assign this Agreement at any time.
